Right now i think Manny is the favourite to win considering his performance against Hoya (even though Hoya looked a shadow of his former self). However, Hatton was an improved fighter under Mayweather Sr agianst Malignaggi, and i think he will improve furthermore against Pacman.
Heres what i think will happen... Manny will fight very well in he earlier rounds, using his jab, just about managing to keep Hatton (and his tiny reach) away. In Manny's last fight though, Hoya had no movement and was an easy target, Hatton will move more and if he manages to connect a few decent body shots, or even one or two hooks, Manny will definitely feel it and his awesome speed will start to deteriorate. This will allow Hatton to come back in the later rounds. Ultimately though, I think it will go the full 12 and Manny will win on a very close decision!
